Terms of Service for Newclick – NewClick Support

Introduction

Welcome to Newclick, a developer of Shopify applications designed to optimize your store's theme scheduling and management and order management. By accessing or using our app, you agree to comply with and be bound by the following Terms of Service. Please read them carefully. If you do not agree with these terms, you should not use our app.

Eligibility

By using Newclick (Theme Scheduler Pro, and/or RetroOrder), you represent and warrant that you are at least 18 years old and that you have the legal capacity to enter into this agreement.

Account Registration

To use Newclick (Theme Scheduler Pro, and/or RetroOrder), you must register an account. You agree to provide accurate and complete information during registration and to keep this information up to date. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.

License and Access

Subject to your compliance with these Terms of Service, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use Theme Scheduler Pro solely for your internal business purposes.

Prohibited Uses

Use the app for any unlawful purpose or in violation of any local, state, national, or international law.
Use the app to transmit any content that is defamatory, harassing, fraudulent, obscene, or otherwise objectionable.
Interfere with or disrupt the app or servers or networks connected to the app.
Attempt to gain unauthorized access to any portion of the app.

Fees and Payment

Newclick (Theme Scheduler Pro and/or RetroOrder) is a paid service. By subscribing to our app, you agree to pay the fees specified at the time of purchase. All payments are non-refundable, except as required by law. We reserve the right to change our fees at any time, but we will notify you in advance of any changes.

Affiliate Program

Enrollment

To enroll in the Newclick (Theme Scheduler Pro and/or RetroOrder) Affiliate Program, you must complete the registration process and be approved by our team. We reserve the right to accept or reject any application at our discretion.

Commissions

Affiliates will earn a commission for every new customer referred to Newclick (Theme Scheduler Pro and/or RetroOrder) through their unique affiliate link. The commission rate will be specified in the affiliate dashboard. Payments will be made monthly, provided the affiliate has reached the minimum payout threshold.

Responsibilities

As an affiliate, you agree to:

Promote Newclick (Theme Scheduler Pro and/or RetroOrder) in a responsible and ethical manner.
Not make any false or misleading claims about our app.
Comply with all applicable laws and regulations in your promotional activities.

Termination

We reserve the right to terminate your participation in the Affiliate Program at any time, with or without cause, by providing written notice to you.

Intellectual Property

All content, features, and functionality of Newclick (Theme Scheduler Pro and/or RetroOrder), including but not limited to text, graphics, logos, and software, are the exclusive property of Newclick (Theme Scheduler Pro and/or RetroOrder) and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Disclaimer of Warranties

Newclick (Theme Scheduler Pro and/or RetroOrder) is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the app, including but not limited to its merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Newclick (Theme Scheduler Pro and/or RetroOrder), its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the app.

Indemnification

You agree to indemnify, defend, and hold harmless Newclick (Theme Scheduler Pro and/or RetroOrder), its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your use of the app or your violation of these Terms of Service.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. If we make changes, we will notify you by revising the date at the top of this document. Your continued use of Newclick (Theme Scheduler Pro and/or RetroOrder) following the posting of changes constitutes your acceptance of such changes.

Governing Law

These Terms of Service and any disputes arising out of or related to these terms or the use of the app will be governed by the laws of the jurisdiction in which Newclick (Theme Scheduler Pro and/or RetroOrder) operates, without regard to its conflict of laws rules.
